"ClearFox"refers to the software product, services, and documentation provided by ClearFox ("we", "us", "our").

"Customer"refers to the individual or organization that purchases a license to use ClearFox ("you", "your").

"License Key" refers to the unique activation key provided upon purchase that enables the use of ClearFox.

Subject to these Terms, we grant you a non-exclusive, non-transferable, perpetual license to install and use ClearFox on your own infrastructure for your internal business purposes. The license itself does not expire: once issued, the License Key remains valid indefinitely as proof of ownership for the version delivered to you.

The license is limited to the number of users specified in your license agreement. You may not sublicense, resell, or redistribute ClearFox or any part thereof.

A separate paid Support & Updates Subscription entitles you to new software versions and support during the subscription period (see Section 9). The subscription is optional for continued use of an already-installed version.

ClearFox is deployed on your own servers or cloud infrastructure. You are solely responsible for maintaining the security, availability, and proper configuration of your hosting environment.

We do not have access to your data. All data processed by ClearFox remains on your infrastructure under your control.

ClearFox requires API keys from third-party providers (e.g., Anthropic for AI capabilities). You are responsible for obtaining and managing these API keys and complying with the respective third-party terms of service.

We are not responsible for costs, usage limits, or policy changes imposed by third-party API providers.

The License Key is a self-contained Ed25519-signed token (CFX2 / CFX2Z format). The portal validates it offline at startup using an embedded public key — no online activation, no daily call-home, no kill-switch. ClearFox can run in fully air-gapped environments.

The optional Updates & Support Subscription is managed via Stripe and only requires connectivity at the moment of payment to receive a new key with an extended support window. The previously-issued key remains valid forever and continues to authorise the version you already have installed.

We do not collect, store, or process any of your business data. The only information transmitted to our servers is your License Key for validation purposes.

You are responsible for ensuring that your use of ClearFox complies with applicable data protection laws and regulations (including GDPR, CCPA, and similar legislation).

ClearFox connects to third-party business tools (e.g., Jira, Salesforce, Google Analytics) using credentials you provide. We do not store or transmit these credentials beyond your self-hosted installation.

You are responsible for ensuring that your use of integrations complies with the terms of service of the respective third-party platforms.

You agree not to:

• Reverse engineer, decompile, or disassemble ClearFox
• Share or transfer your License Key to unauthorized parties
• Use ClearFox in any way that violates applicable laws
• Remove or modify any proprietary notices or labels
• Attempt to circumvent license validation or usage limits

The Updates & Support Subscription entitles you, during the active subscription period, to (a) all software updates and bug fixes published for the product, (b) new MCP integrations released within the same major version, and (c) email support at sales@clearfox.ai.

The subscription is billed monthly through Stripe. Each successful payment extends your support window by one billing cycle. If the subscription lapses, you may continue to use the last version delivered while the subscription was active under your perpetual license; you will not receive further updates or support until the subscription is reactivated.

We reserve the right to modify features and functionality in future updates. Major version upgrades may, at our discretion, require a separate purchase.

ClearFox is provided "as is" without warranties of any kind, express or implied. We do not warrant that the software will be error-free or uninterrupted.

In no event shall our liability exceed the amount paid by you for the license in the 12 months preceding the claim. We are not liable for any indirect, incidental, or consequential damages.

We may terminate your perpetual license only if you materially breach these Terms (for example, exceeding the licensed user count, redistributing the software, or attempting to circumvent license validation). Upon such termination, you must cease all use of ClearFox and delete all copies from your infrastructure.

You may cancel your Updates & Support Subscription at any time directly from your Stripe billing portal. Cancellation does not terminate the perpetual license — your installation continues to work on the version delivered during the last paid period. No refunds are provided for partial subscription periods.

We may update these Terms from time to time. Material changes will be communicated via email or through the ClearFox portal. Continued use after changes constitutes acceptance.
